On October 12, 2006 Princeton Pharma Holdings, LLC acquired 100% of the outstanding stock of Aton Pharma, Inc., a subsidiary of Merck & Co. Inc., the terms of the transaction were not disclosed. Aton will move its operations to Lawrenceville, New Jersey effective immediately. Michael Wells, the principal behind Princeton Pharma Holdings, partnered with a private equity firm to execute the transaction. Mr. Wells will assume the role of President and CEO of Aton. Aton was formerly a development stage oncology company, which was restructured after the acquisition by Merck to include the worldwide rights for 8 legacy products previously owned by Merck. The products include AquaMephyton®, Mephyton®, Cuprimine®, Syprine®, Edecrin®, Sodium Edecrin®, Lacrisert® and Demser®.

Princeton Pharma Holdings will sell and distribute the products under the Aton name. The products owned by Aton are unique in that they are generally the only treatment option available for a range of rare conditions including some orphan diseases. With sales in 32 countries, Aton is a worldwide leader in the treatment of rare diseases and the company has plans to expand through additional acquisitions and product development.
